These Terms of Service ("Terms") govern your access to and use of Rendershop and related services (collectively, the "Service") provided by Cordelia Works, Inc. ("Cordelia Works," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

  • "Content" means any images, files, text, data, or other material uploaded to, generated by, or otherwise processed through the Service.
  • "Source Material" means Content you upload or provide as input to the Service, including reference photographs, sketches, line drawings, and design specifications.
  • "Generated Output" means any images, renders, analysis results, or other Content produced by the Service from your Source Material and editing instructions.
  • "User" or "you" means the individual or entity accessing or using the Service.

2. Eligibility and Accounts

2.1. You must be at least 16 years old and capable of forming a binding contract to use the Service.

2.2. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2.3. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

2.4. You agree to provide accurate, current, and complete account information and to update it as necessary.

3. The Service

3.1. Rendershop is an AI-assisted architectural visualization tool. The Service processes Source Material you provide, applies your editing instructions, and produces Generated Output using third-party AI models.

3.2. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

4. Nature of Generated Output

THIS SECTION IS MATERIAL TO YOUR USE OF THE SERVICE. READ IT CAREFULLY.

4.1. Representative, not construction-accurate. Generated Output is a visual representation derived from your Source Material and editing instructions. It is intended to communicate design intent and aesthetic direction. Generated Output does not constitute and must not be relied upon as construction documentation, engineering specifications, building plans, structural analysis, code-compliant drawings, material specifications, or any other document suitable for procurement, construction, fabrication, or regulatory approval.

4.2. AI limitations. Generated Output is produced by AI models that interpret visual and textual inputs probabilistically. Results may contain inaccuracies, artifacts, hallucinated details, incorrect material representations, distorted proportions, physically impossible geometries, or other errors. The Service does not verify the structural feasibility, code compliance, material accuracy, dimensional correctness, or constructability of any Generated Output.

4.3. Professional judgment required. Generated Output is a communication tool for design professionals. It is your responsibility -- and the responsibility of any licensed professional relying on Generated Output -- to independently verify all aspects of any design before use in construction, procurement, client commitments, regulatory submissions, or any context where accuracy is material.

4.4. No professional advice. The Service does not provide architectural, engineering, construction, legal, or any other professional advice. Nothing in the Generated Output constitutes a professional opinion or certification.

4.5. No guarantee of consistency. Due to the probabilistic nature of AI generation, the same inputs may produce different outputs across runs. We do not guarantee that Generated Output will be identical, consistent, or reproducible.

5. Your Content and Intellectual Property

5.1. You retain ownership. You retain all rights, title, and interest in your Source Material. As between you and Cordelia Works, you own your Generated Output, subject to Section 5.3.

5.2. License to us. You grant Cordelia Works a non-exclusive, worldwide, royalty-free license to use, process, store, and transmit your Content solely as necessary to provide, maintain, and improve the Service. This includes transmitting your Content to third-party AI model providers to generate renders and analysis (as described in our Privacy Policy).

5.3. IP limitations. The availability of intellectual property protection for AI-generated content varies by jurisdiction and is an evolving area of law. We make no representation that Generated Output qualifies for copyright or other intellectual property protection in any jurisdiction. You are responsible for determining the legal status of Generated Output in your jurisdiction.

5.4. No training on your Content. We do not use your Source Material or Generated Output to train our own AI models. Third-party AI provider terms govern their use of data transmitted to them; see our Privacy Policy for details.

5.5. Your representations. You represent and warrant that you have all necessary rights, licenses, and permissions to upload and use your Source Material with the Service, and that your use of the Service does not infringe the rights of any third party.

6. Acceptable Use

You agree not to:

6.1. Use the Service to generate content that is illegal, fraudulent, defamatory, obscene, or that promotes violence or discrimination.

6.2. Upload Source Material that you do not have the right to use, or that infringes any third party's intellectual property, privacy, or other rights.

6.3. Use Generated Output in a manner that misrepresents it as construction-accurate documentation, stamped drawings, or professionally certified work product, unless independently verified and certified by a licensed professional.

6.4. Attempt to reverse-engineer, decompile, or extract the underlying models, algorithms, or systems of the Service.

6.5. Interfere with or disrupt the Service, circumvent usage limits, or access the Service through automated means (scraping, bots) without our written permission.

6.6. Use the Service to generate content intended to deceive, including fabricated site photographs or renders presented as photographs of completed construction.

6.7. Resell, sublicense, or provide the Service to third parties as a standalone offering without our written consent.

7. Fees and Payment

7.1. Certain features of the Service may require payment. Fees, billing frequency, and payment terms will be communicated at the time of purchase or subscription.

7.2. All fees are non-refundable except as expressly stated or as required by applicable law.

7.3. We reserve the right to change pricing with reasonable notice. Continued use of the Service after a price change constitutes acceptance.

8. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

8.1. We expressly disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and quiet enjoyment.

8.2. Without limiting the foregoing, we do not warrant that:

  • Generated Output will be accurate, complete, reliable, error-free, or fit for any particular purpose.

  • Generated Output will faithfully represent the physical properties, dimensions, materials, colors, textures, or lighting conditions of any real or proposed structure.

  • The Service will be uninterrupted, timely, secure, or free of errors, viruses, or other harmful components.

  • Any defects in the Service will be corrected.

    8.3. No information or advice, whether oral or written, obtained from us or through the Service creates any warranty not expressly stated in these Terms.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

9.1. No consequential damages. In no event will Cordelia Works, its affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, revenue, goodwill, data, business opportunities, construction costs, remediation costs, or procurement costs, however caused and under any theory of liability, whether in contract, tort (including negligence), strict liability, or otherwise, even if advised of the possibility of such damages.

9.2. Liability cap. Our total cumulative liability to you for all claims arising out of or relating to these Terms or the Service will not exceed the greater of: (a) the total fees you paid to us in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

9.3. Construction reliance. Without limiting the generality of the above, Cordelia Works shall have no liability whatsoever for any loss, damage, cost, or expense arising from reliance on Generated Output for construction, procurement, fabrication, regulatory compliance, or any purpose requiring dimensional, material, structural, or code-compliance accuracy. You assume all risk associated with any such reliance.

9.4. Third-party actions. We are not liable for any actions, errors, or omissions of third-party AI model providers, infrastructure providers, or other third parties.

10. Indemnification

You agree to indemnify, defend, and hold harmless Cordelia Works, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

10.1. Your use of the Service or any Generated Output.

10.2. Your Source Material, including any claim that it infringes third-party rights.

10.3. Any reliance by you or any third party on Generated Output for construction, procurement, regulatory, or other accuracy-dependent purposes.

10.4. Your violation of these Terms or applicable law.

11. Third-Party Services

11.1. The Service relies on third-party AI model providers (currently Google Gemini) and other infrastructure providers. Your use of the Service is also subject to those providers' applicable terms and policies.

11.2. We are not responsible for the availability, accuracy, or conduct of any third-party service.

12. Suspension and Termination

12.1. By you. You may stop using the Service at any time. To close your account, contact us at [email protected].

12.2. By us. We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Grounds include, but are not limited to, violation of these Terms, non-payment, or conduct that we reasonably believe is harmful to the Service or other users.

12.3. Effect of termination. Upon termination, your right to use the Service ceases immediately. We may delete your Content after a reasonable wind-down period. Sections that by their nature should survive termination will survive, including Sections 4, 5.2, 8, 9, 10, and 14.

13. Modifications to Terms

We may revise these Terms at any time by posting the updated version with a new effective date. Material changes will be communicated via email or in-app notice. Your continued use of the Service after the revised Terms take effect constitutes acceptance.

14. Governing Law and Dispute Resolution

14.1. Governing law. These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

14.2. Dispute resolution. Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration will take place in Wilmington, Delaware, or remotely at the arbitrator's discretion. The arbitrator's award is final and binding and may be entered as a judgment in any court of competent jurisdiction.

14.3. Class action waiver. You agree to resolve disputes with us on an individual basis. You waive any right to participate in a class action, class arbitration, or representative proceeding.

14.4. Exceptions. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

15. General Provisions

15.1. Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cordelia Works regarding the Service and supersede all prior agreements.

15.2. Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect.

15.3. Waiver. Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

15.4. Assignment. You may not assign these Terms without our prior written consent. We may assign our rights and obligations without restriction.

15.5. Force majeure. We are not liable for any failure or delay in performance due to causes beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, internet or infrastructure failures, or third-party service outages.
